Welcome to eCom Lightspeed. These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and eCom Lightspeed ("Company," "we," "our," or "us"), concerning your access to and use of our website at https://ecomlightspeed.com (the "Site") and the free AI Marketing Team service for eCommerce provided through the Site (the "Service").

By accessing the Site and using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and you must discontinue use immediately.

These Terms apply to all visitors, users, and others who access or use the Service. No account creation or login is required to use the Service; however, your use of the Service is still governed by these Terms.

2. Description of Service

eCom Lightspeed provides a free AI-powered marketing advisory platform designed to help eCommerce merchants improve their online store performance. The Service offers access to eight specialized AI marketing experts:

  • Product SEO Expert: Provides product-level search engine optimization recommendations, including keyword strategies, meta tag optimization, and content structure advice.
  • Product Copywriter: Generates compelling product descriptions, titles, and marketing copy tailored to your target audience and brand voice.
  • Google Ads Expert: Offers strategic guidance on Google Ads campaign creation, bidding strategies, ad copy, and performance optimization for eCommerce.
  • Meta Ads Expert: Delivers recommendations for Facebook and Instagram advertising, including audience targeting, creative strategy, and campaign structure.
  • Email Marketing Expert: Assists with email campaign strategy, subject line optimization, segmentation, automation flows, and content planning.
  • Shopify Expert: Provides guidance on Shopify store setup, theme optimization, app recommendations, and platform-specific best practices.
  • Analytics Expert: Helps interpret store data, identify trends, set up tracking, and make data-driven marketing decisions.
  • CRO Expert (Conversion Rate Optimization): Recommends strategies to improve website conversion rates, including landing page optimization, UX improvements, and A/B testing frameworks.

The Service is designed to support merchants using Shopify and WooCommerce platforms. All AI-generated recommendations are provided for informational and advisory purposes and should not be considered as professional marketing, legal, financial, or business advice.

3. User Responsibilities

As a user of the Service, you agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Provide accurate and truthful information when interacting with the AI experts, including product details, store information, and business context.
  • Not use the Service in any way that could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Service.
  • Not attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • Not use any automated means, including bots, scrapers, or other automated technology, to access the Service for any purpose without our express written permission.
  • Not use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Not input any confidential, proprietary, or sensitive business information that you are not authorized to share into the Service.
  • Review and independently verify all AI-generated recommendations before implementing them in your business operations.

4. Intellectual Property Rights

Unless otherwise indicated, the Site and our Services are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

The Service and its original content (excluding content provided by users) remain the exclusive property of eCom Lightspeed and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of eCom Lightspeed. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial marketing research purposes.

5. AI-Generated Content Disclaimer

The Service generates recommendations, advice, and content using artificial intelligence technology powered by Gemini AI. You acknowledge and agree that:

  • Not Professional Advice: All AI-generated content is provided for informational and educational purposes only. It does not constitute professional marketing, advertising, legal, financial, tax, or business advice. You should consult with qualified professionals before making any business decisions.
  • Accuracy Not Guaranteed: While we strive to provide accurate and helpful recommendations, AI-generated content may contain inaccuracies, errors, or information that is not current. We do not warrant the accuracy, completeness, or reliability of any AI-generated output.
  • No Guarantee of Results: Implementing AI-generated recommendations does not guarantee any specific business outcomes, including but not limited to increased traffic, sales, conversions, or revenue. Your business results depend on numerous factors beyond our control.
  • Content Ownership: You retain ownership of the information you input into the Service. AI-generated responses are provided to assist you, and you may use the output at your own discretion and risk, subject to these Terms.

6. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ECOM LIGHTSPEED, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service.
  • Any conduct or content of any third party on the Service, including AI-generated content.
  • Any content obtained from the Service, including AI-generated recommendations that you implement in your business.
  • Unauthorized access, use, or alteration of your transmissions or content.

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF ECOM LIGHTSPEED TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT OF ONE HUNDRED US DOLLARS ($100.00) OR THE AMOUNT YOU ACTUALLY PAID US FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

7. Indemnification

You agree to defend, indemnify, and hold harmless eCom Lightspeed, its parent company, officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, and settlements including without limitation, reasonable legal and accounting fees, arising out of or resulting from:

  • Your use of the Service or any activity conducted through the Service.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any rights of a third party, including intellectual property rights, privacy rights, or proprietary rights.
  • Any content you submit, share, or input into the Service, including product information and business data.
  • Your use of AI-generated content in your marketing, advertising, or business operations, including any claims of false advertising, trademark infringement, or misleading content.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.

8. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Service at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Service without notice at any time.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service. We cannot guarantee the Service will be available at all times. 10. Governing Law and Dispute Resolution

These Terms shall be governed by and defined following the laws of the United States. eCom Lightspeed and yourself irrevocably consent that the courts of the United States shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.

Any claim or dispute arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.

11. Disclaimer

THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICE. WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE; ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. The failure of either party to exercise any right provided for herein shall not be deemed a waiver of that right or any other right, and no waiver shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and eCom Lightspeed regarding the use of the Service. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
